These Terms of Service (the “Terms”) govern your access to and use of the website cloudgeminiph.com, our online storefront, installation booking pages, partner portals, and all related services (collectively, the “Services”) operated by Cloud Gemini Electronics Corporation (“Cloud Gemini,” “we,” “us” or “our”), a corporation organized under the laws of the Republic of the Philippines.
By creating an account, placing an order, signing in with Facebook, or otherwise using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Services.
You must be at least 18 years old and capable of entering into a legally binding contract under Philippine law to use the Services. By using the Services you represent that you meet these requirements and that the information you provide is true, current, and complete.
You may choose to register or sign in using Facebook Login. When you do, Facebook shares limited profile data (Facebook user ID, name, email if granted, and profile picture) with us under your authorization. We use that data only to create or authenticate your Cloud Gemini account, as described in our Privacy Policy. You may unlink Facebook at any time from your profile page or by following our Data Deletion Instructions.
Delivery times are estimates and depend on your location and the courier. Risk of loss passes to you upon delivery to the address you provide or upon pickup at our Dasmariñas, Cavite store. For full details please see our Shipping and Delivery pages.
Returns are governed by our Returns Policy and the consumer-protection rights granted by Republic Act No. 7394 (Consumer Act of the Philippines). Manufacturer warranties pass through to you on the terms set by the manufacturer.
Participation in our partner, dealer, or installer programs requires a separate application and is subject to additional terms communicated during onboarding. We reserve the right to approve, suspend, or terminate program participation at our sole discretion.

Any reviews, messages, photos, or other content you submit through the Services must not be unlawful, defamatory, obscene, or infringing. You grant Cloud Gemini a worldwide, royalty-free, non-exclusive license to host, store, reproduce, and display such content for the purpose of operating the Services. You may request removal of your content at any time.
The Services, including all software, designs, logos, text, graphics, and trademarks, are owned by or licensed to Cloud Gemini and protected by intellectual property laws. Except for the limited rights expressly granted to you in these Terms, no other rights are granted, whether by implication, estoppel, or otherwise.
The Services may link to or integrate with third-party services (e.g. Facebook, payment processors, couriers). Your use of those services is governed by the third party’s own terms and privacy policies. Cloud Gemini is not responsible for the practices of third parties.
Except as expressly required by law (including the Consumer Act), the Services and the products sold through them are provided “as is” and “as available.” To the maximum extent permitted by law, Cloud Gemini disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, Cloud Gemini’s total aggregate liability arising out of or in connection with your use of the Services or any single order shall not exceed the greater of (a) the amount you actually paid to Cloud Gemini for the order giving rise to the claim, or (b) PHP 5,000.00. We shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Nothing in these Terms limits liability that cannot be limited under applicable Philippine law.
You agree to indemnify and hold harmless Cloud Gemini, its officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.
We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or if required by law. Upon termination, the provisions of these Terms that by their nature should survive (including Sections 10–15) will continue to apply.
We may update these Terms from time to time. Material changes will be announced on this page and, where appropriate, by email. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-laws rules. The courts of Cavite, Philippines shall have exclusive jurisdiction over any dispute arising from or relating to these Terms or the Services, except that either party may seek injunctive relief in any court of competent jurisdiction.
